Terms of Service

These Terms are an agreement between you and KeystoneXchange LLC (“KeystoneXchange,” “we,” “us”). By creating an account or using keystonexchange.com, you agree to these Terms, our Privacy Policy, Community Guidelines, Ratings Policy.

Please read Section 15 carefully. It requires most disputes to be resolved by individual arbitration and waives class actions.

1. Who can use KeystoneXchange

• You must be at least 18 and able to form a binding contract.
• You may have only one account.
• You must provide your full legal name and accurate information.
• You may not use KeystoneXchange if we have banned you.

2. Your account

• You are responsible for everything done through your account.
• Keep your email secure, and never share a sign-in code with anyone.
• Tell us right away if someone else accesses your account.

3. What KeystoneXchange is

KeystoneXchange is a venue where members list items and connect with each other. We are not a party to any sale. We do not own, inspect, or guarantee any item, and we do not handle payments, shipping, or delivery. All deals are between buyer and seller. We do not verify the identity, quality, safety, or legality of members, items, or listings, beyond our listing review.

4. Fees

KeystoneXchange is free to use. If we add fees in the future, we will give notice before they apply, and they will only apply to use after that date.

5. Listings

When you post a listing, you agree that:

• You own the item or have the right to sell it.
• The listing is accurate and includes every disclosure our Community Guidelines require.
• You will follow every federal, state, and local law that applies to the sale, including licensing, permit, inspection, and health rules.
• The item is allowed under our Community Guidelines, including the “Not permitted” list and the rules for clothing, animals, food, vehicles, and businesses.
• All photos were taken by you and show the actual item. Stock, catalog, and AI-generated images are not allowed.

Also note:

• Listings are subject to our review and moderation rules. Eligible sellers may receive expedited or automatic publishing; other submissions go through staff review as described in our Community Guidelines. We may approve, reject, or remove any listing at our discretion.
• Listings expire after 14 days.

6. Your content

• You keep ownership of what you post.
• By posting, you give KeystoneXchange a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and adapt it (for example, resizing photos) in order to operate, improve, and promote KeystoneXchange.
• This license ends when your content is deleted, except for copies kept in backups for a limited time or already shared in messages with other members.

7. Rules of conduct

You agree not to:

• Break the law or our Community Guidelines.
• Post false, misleading, or fraudulent listings.
• Harass, threaten, or discriminate against anyone.
• Spam members, or send unrelated pitches, recruiting, or solicitations.
• Ask for payment by gift card, wire transfer, or other untraceable methods to scam members.
• Create fake accounts or impersonate anyone.
• Manipulate ratings, including offering or demanding something in exchange for a review.
• Use automated tools to collect member information or copy the site in bulk, or to send messages or create listings automatically. Search engines and similar crawlers may index public listings in line with our robots.txt file.
• Interfere with or disrupt the site, or try to get around our security or bans.

8. Moderation and enforcement

If you break these Terms or our policies, we may do any of the following:

• Remove content.
• Issue a warning.
• Suspend your account for 7 days, 30 days, or until we restore it.
• Permanently close your account.

We choose the action based on how serious the violation is. Fraud, theft, threats, and anything involving a minor go straight to permanent closure. You can appeal most decisions through our Appeals page. Appeals are decided by a different staff member than the one who made the original decision.

9. Ratings and reviews

Ratings are governed by our Ratings Policy. Reviews are permanent once posted and cannot be edited by the author.

10. Messages

Messages are private between the people in a conversation, except that authorized staff may inspect conversations as described in our Privacy Policy and Community Guidelines. Member-to-member messages and shared chat photos are eligible for deletion after 60 days without a new message about that item; general messages have a separate inactivity timer. Reading a conversation does not restart the timer. Official support conversations follow the separate retention description in our Privacy Policy.

11. Third-party services

We use outside providers to run the site. We are not responsible for services we don’t control.

12. Disclaimers

KEYSTONEXCHANGE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ANY ITEM, LISTING, OR MEMBER, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, KEYSTONEXCHANGE AND ITS MEMBERS, MANAGERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM TRANSACTIONS OR MEETINGS BETWEEN MEMBERS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO $100. Some states do not allow these limits, so they may not fully apply to you.

14. Release and indemnity

• Because we are not a party to members’ deals, you release KeystoneXchange from claims arising from disputes with other members. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
• You agree to indemnify KeystoneXchange against claims arising from your content, your listings, your deals, or your violation of these Terms.

15. Dispute resolution

• Informal resolution first. Before filing a claim, email legal@keystonexchange.com with a description of the dispute and give us 30 days to try to resolve it.
• Arbitration. Any dispute not resolved informally will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration may be held by video or in the county where you live.
• Small claims. Either side may bring an individual claim in small claims court instead.
• Class action waiver. Claims may only be brought individually, not as a plaintiff or class member in any class, collective, or representative proceeding.
• Opt-out. You may opt out of arbitration by emailing legal@keystonexchange.com within 30 days of first accepting these Terms.
• Exceptions. Either side may go to court over intellectual property or to stop unauthorized use of the site.

16. Governing law

• These Terms are governed by the laws of Pennsylvania and the Federal Arbitration Act.
• Any claim not subject to arbitration will be brought in the state or federal courts serving Lancaster County, Pennsylvania.

17. Ending your account

• You may close your account anytime by emailing contact@keystonexchange.com.
• We may suspend or end your access as described in Section 8.
• Sections 6 and 12 through 16 survive after your account ends.

18. Changes to these Terms

• If we make material changes, we will post the revised terms with their effective date and present the new version to signed-in members.
• You will be asked to accept the new version before continuing to use your account.
• Changes do not apply to disputes already in progress.

19. Other terms

• These Terms, together with the policies listed above, are the entire agreement between you and KeystoneXchange.
• If any part is unenforceable, the rest still applies.
• We may transfer these Terms if KeystoneXchange is merged or sold.
• Our failure to enforce a provision is not a waiver.
